How to Start an LLC in Virginia in 6 Steps

  1. Choose a name. It must include “Limited Liability Company,” “Limited Company,” “LLC,” “L.L.C.,” “LC” or “L.C.” and be different from other names on file with the SCC.
  2. Appoint a registered agent. In Virginia, the agent must be a Virginia resident who is a member or manager of the LLC, a Virginia lawyer, or a business authorized to act as a registered agent. The agent needs a physical Virginia address.
  3. File Articles of Organization. File online through the SCC’s Clerk’s Information System and pay $100.
  4. Write an operating agreement. It is not filed with the SCC, but banks and platforms will ask for it.
  5. Get an EIN. The IRS gives it for free. We apply for you if you don’t have an SSN.
  6. Register with Virginia Tax if you sell. If you sell taxable goods in Virginia, register for sales and use tax with the state Department of Taxation. Registration is free.

The state calls its yearly payment an “annual registration fee,” not an annual report. Your first payment is due the year after you form your LLC, by the last day of the month you formed it.

Virginia Registered Agent Rules
