Single-Member LLC: Taxes, Rules and How to Form One

Most founders who form a US LLC on their own end up with a single-member LLC. Here is what that means, how a single-member LLC is taxed, how it compares with a multi-member LLC, and what an owner outside the US needs to file each year.

Quick answer

A single-member LLC is an LLC with one owner. It gives you the same liability protection as any LLC. For US federal tax it is a disregarded entity by default, so its profit is reported by the owner rather than taxed at company level. If you live outside the US, your one-owner LLC must file Form 5472 with a pro forma Form 1120 every year, even with no income; missing it can cost $25,000.

What Is a Single-Member LLC?

A single-member LLC (SMLLC) is a limited liability company owned by one person or one company, also called a sole-owner LLC. The owner can live anywhere in the world. Legally, the LLC is separate from you: it holds its own bank account, signs its own contracts and carries its own debts.

Starting with partners? A multi-member LLC lets each partner hold a share. Write the split, voting and exit rules into an operating agreement from the start.

How a Single-Member LLC Is Taxed

By default, the IRS ignores a one-owner LLC as a separate taxpayer. For a US owner, the profit goes on the owner’s personal return, much like a sole proprietorship. The LLC can also elect to be taxed as a C corporation if that suits the business better.

Single-Member LLC Taxes for Owners Outside the US

A foreign-owned one-owner LLC has a special filing rule. It must file Form 5472 attached to a pro forma Form 1120 every year to report transactions between the LLC and its owner. This applies even if the LLC had no income.

  • Form 5472: reports money moving between you and the LLC
  • Pro forma Form 1120: a cover return the 5472 is attached to
  • Penalty: $25,000 for each form that is missing or late
  • US income tax: depends on whether the income is connected with a US trade or business; many service and online businesses run from abroad owe none, but our tax team checks your case

LLCPronto files Form 5472 and Form 1120 together for up to $60.

Benefits of Owning Your LLC Alone

  • Personal asset protection with one owner in full control
  • Simple tax treatment by default
  • A US EIN, bank account and payment platforms in the LLC’s name
  • Easy to add a partner later and become a multi-member LLC
  • Low running costs in states such as New Mexico and Wyoming

What You Must Do Each Year

  1. Keep the registered agent active in the LLC’s state
  2. File the state annual report or pay the state fee, if your state has one; see LLC annual report by state
  3. File Form 5472 and Form 1120 (owners abroad)
  4. Keep business and personal money separate
  5. Keep records of money you put into or take out of the LLC

Which Tax Form to Give Platforms

Because a one-owner LLC is disregarded for US tax, platforms such as Amazon, Stripe and Upwork usually ask for a form in the owner’s name. For an owner outside the US, that is commonly Form W-8BEN. Answer the same way on every platform so your records match.
