How to Start an LLC in New York in 6 Steps
- Choose a name. It must include “Limited Liability Company,” “LLC” or “L.L.C.” and be different from other names on file with the Department of State.
- Choose how you receive legal papers. The state names the Secretary of State as the agent that receives legal papers for your LLC, then forwards them to the address you give. A separate registered agent is optional.
- File Articles of Organization. File online or by mail with the Department of State and pay $200.
- Complete the publication requirement. Within 120 days, publish a notice in two newspapers chosen by the county clerk, once a week for six weeks. Then file a Certificate of Publication for $50.
- Write an operating agreement and get your EIN. State law requires an operating agreement within 90 days of filing. The EIN is free from the IRS.
- Get a Certificate of Authority if you sell taxable goods. Register with the state Department of Taxation and Finance at least 20 days before you start selling. It is free.
