LLC vs Sole Proprietorship: Which Is Better for You? (2026)

Choosing between an LLC and a sole proprietorship is one of the first decisions you make as a business owner. Here is how the two compare on liability, taxes, cost and paperwork, and which one fits founders in the US and around the world.

Quick answer

An LLC vs sole proprietorship comes down to protection and access. A sole proprietorship is just you doing business under your own name: no filing, but no protection, and your personal savings are on the line. An LLC is a separate company that shields your personal assets and lets you open a business bank account, use Stripe and sell as a US business. If you live outside the US, an LLC is the practical choice, because a foreign sole proprietor cannot easily get US banking, payouts or payment tools.

What Is a Sole Proprietorship?

A sole proprietorship is the simplest way to do business. You trade under your own name, or a trade name, and there is no separate legal entity. Every contract, debt and lawsuit is yours personally. In the US, a sole proprietor reports business profit on their personal tax return and usually pays self-employment tax on it.

It is quick and cheap, which is why many freelancers start this way. The catch is that there is no wall between you and the business. If a client sues or the business cannot pay a supplier, your personal assets can be used to pay.

What Is an LLC?

A limited liability company is a business you register with a US state. Once the state approves your Articles of Organization, the LLC exists on its own: it can sign contracts, hold a bank account, get an EIN and own property. Its owners are called members. Read more in our guide: what is an LLC.

The key benefit is in the name. Liability is limited to what you put into the company, so your home, car and savings stay out of reach of business creditors, as long as you keep business and personal money separate.

Liability: The Biggest Difference

With a sole proprietorship, there is no limit to what you can lose. A single unpaid invoice, a product claim or a client dispute can reach your personal bank account. With an LLC, the company is responsible for its own debts. That protection is the main reason growing businesses move from a sole proprietorship to an LLC.

Taxes: LLC vs Sole Proprietorship

For a US owner, a single-member LLC is taxed like a sole proprietorship by default: profit flows to the owner’s personal return. So forming an LLC does not usually raise your tax bill. It can also elect to be taxed as a corporation later if that saves tax.

For an owner outside the US, the picture is different. A foreign-owned single-member LLC files Form 5472 with a pro forma Form 1120 each year, and whether any US income tax is due depends on how and where the business earns its income. Our tax team checks your setup so you file correctly.

Why Founders Outside the US Choose an LLC

  • No SSN needed: a US LLC gets its own EIN within 24 hours with LLCPronto, without an SSN or a US visit.
  • US banking: the LLC can open a US business account in its own name for payouts in dollars.
  • Stripe and PayPal: payment platforms that are not available to local businesses in many countries accept a US LLC.
  • Marketplaces: Amazon, Shopify, Etsy and TikTok Shop US work far more smoothly with a US business.
  • Client trust: US clients and suppliers prefer paying a registered company.

A foreign sole proprietor has none of these. In practice there is no US sole proprietorship option for most people abroad, which is why a US LLC is the standard route.

When a Sole Proprietorship Still Makes Sense

  • You live in the US and are testing a small side project with almost no risk
  • You have no clients, inventory or contracts that could lead to a claim
  • You do not need a business bank account or payment platform yet

Even then, most owners form an LLC as soon as income becomes regular. Switching later means new bank accounts and new platform accounts, so starting with an LLC saves work.

How Much Does an LLC Cost Compared With a Sole Proprietorship?

A sole proprietorship costs little or nothing to start. An LLC has a one-time formation cost and a yearly state fee in most states. With LLCPronto, the state fee, registered agent, EIN and US mailing address come in one package price from $190. See how much an LLC costs and the cheapest state to form an LLC.

  2. Form the LLC and get your Articles of Organization
  3. Get the LLC’s EIN (within 24 hours with LLCPronto)
  4. Open a business bank account in the LLC’s name
  5. Move your clients, contracts and platform accounts to the LLC

Paperwork and Compliance Compared

  • Sole proprietorship: little paperwork, but you may still need local licences, permits and a trade name (DBA) to use a business name
  • LLC: a state formation filing, a registered agent, and in most states a yearly report or fee; multi-member LLCs should keep an operating agreement and clear records
  • Owners abroad: a foreign-owned single-member LLC also files Form 5472 and a pro forma Form 1120 every year, which LLCPronto files for up to $60

Pros and Cons of an LLC vs a Sole Proprietorship

ProsCons
Sole proprietorshipNo formation filing, no yearly state report, simplest bookkeepingNo liability protection, harder to get business banking and payment tools, looks less established
LLCPersonal asset protection, own bank account and EIN, works with Stripe and marketplaces, can add partnersA formation cost, a yearly state fee or report in most states, and some yearly IRS forms for owners abroad

Does an LLC Lower Your Taxes?

Not by itself. A single-member LLC owned by a US resident is taxed the same way as a sole proprietorship by default, so the tax bill is usually the same. The tax difference appears only if the LLC elects to be taxed as a corporation, for example as an S corp for eligible US owners. See LLC vs S corp and LLC taxes.

Licences, Permits and Business Names

Both structures may need local licences or permits, depending on what you sell and where. A sole proprietor who wants to trade under a name other than their own usually registers a DBA. An LLC trades under its registered name, and can add a DBA for extra brands. See DBA vs LLC.

Real Examples: Which One Fits?

  • A designer in Pakistan selling to US clients: an LLC, so clients can pay a US company and the money lands in a US business account
  • A seller in India launching on Amazon.com: an LLC, because Amazon payouts and Stripe for a Shopify store need a US business
  • A US resident testing a weekend craft stall: a sole proprietorship can be enough until sales become regular
  • Two friends in the UAE starting an agency: a multi-member LLC with an operating agreement that sets the profit split

When to Move From a Sole Proprietorship to an LLC

  • Your income becomes regular and clients send larger payments
  • You sign contracts, hold stock or face any risk of claims
  • A bank, marketplace or payment platform asks for a business entity
  • You want to bring in a partner or investor

Common Mistakes When Choosing

  • Staying a sole proprietor after taking on large clients or holding stock, leaving personal savings exposed
  • Forming an LLC but still using a personal bank account, which weakens the protection
  • Assuming an LLC automatically lowers tax, when the default tax is the same
  • Choosing an expensive state without a reason; see the cheapest state to form an LLC
  • Forgetting the yearly IRS filing for a foreign-owned LLC, which can lead to a $25,000 penalty
