DBA vs LLC: Differences and Which One You Need
A DBA and an LLC are often mentioned together, but they do very different jobs. One is just a name; the other is a company. Here is how they compare, when you might use both, and what founders outside the US need.
A DBA (“doing business as”) is only a trade name. It does not create a company and gives no liability protection. An LLC is a registered company that protects your personal assets, gets its own EIN and opens bank accounts in its own name. For founders outside the US, an LLC is the one you need; a DBA is optional and can be added to an LLC later if you want to trade under a second brand name.
DBA vs LLC at a Glance
| Point | DBA | LLC |
|---|---|---|
| What it is | A registered trade name | A separate legal company |
| Liability protection | None | Yes |
| Own EIN | No (uses the owner’s or the company’s) | Yes |
| Bank account in its own name | Only through the owner or company | Yes |
| Taxes | No change: taxed like the owner | Pass-through by default, or corporate tax |
| Works for owners abroad | Not on its own | Yes |
| Typical use | A second brand name | The business itself |
What Is a DBA?
A DBA, also called an assumed name, trade name or fictitious business name, lets a person or company do business under a name other than its legal name. For example, “Nova Commerce LLC” could trade as “Nova Gadgets”. Registering a DBA is usually done with the state or county, depending on the state.
A DBA is only a label. It does not separate you from the business, so if a sole proprietor uses a DBA, their personal assets are still fully exposed.
What Is an LLC?
An LLC is a company formed with a US state. It is legally separate from its owners, protects their personal assets and can sign contracts, get an EIN and open accounts in its own name. See what is an LLC.
Key Differences Between a DBA and an LLC
- Protection: only an LLC protects your personal assets from business debts and lawsuits.
- Identity: a DBA is a nickname for someone else; an LLC is its own legal person.
- Banking and payments: banks, Stripe and marketplaces deal with an LLC directly; a DBA always sits on top of an owner or company.
- Credibility: a registered LLC looks more established to clients and suppliers.
- Cost: a DBA is cheap to register; an LLC costs more but gives far more.
Can an LLC Have a DBA?
Yes. Many LLCs register a DBA to run several brands under one company, for example two online stores with different names. The DBA trades under the LLC’s protection, and payments and contracts still belong to the LLC.
DBA vs LLC for Founders Outside the US
If you live outside the US, a DBA on its own does not get you very far. Without a US company or an SSN, it is hard to open a US bank account, use Stripe or sell on Amazon as a US business. A US LLC solves this: it gets an EIN within 24 hours with LLCPronto, opens a US account in its own name and connects to US platforms. If you want a second brand later, add a DBA to the LLC.
Which One Do You Need?
| Your situation | Best choice |
|---|---|
| You live outside the US and want US banking or payments | An LLC |
| You want protection from business debts and lawsuits | An LLC |
| You have an LLC and want a second brand name | A DBA on your LLC |
| US resident testing an idea with no risk | A DBA can be enough for now |
Cost: DBA vs LLC
A DBA usually has a small filing fee. An LLC has a one-time formation cost and, in most states, a yearly state fee. With LLCPronto, the state fee, registered agent, EIN and US mailing address come in one package price from $190. See how much an LLC costs.
