Nevada LLC Formation: Start Your Nevada LLC With No Surprises
To start an LLC in Nevada, you file Articles of Organization, an Initial List of managers or members, and a State Business License with the Nevada Secretary of State. Together they cost $425. After that, you pay $350 every year. We file all three for you and explain every fee upfront.
Nevada LLC at a Glance
Nevada has no state income tax and a business-friendly reputation. It is not the cheapest state, though. A Nevada LLC costs $425 to form and $350 a year to keep, so it makes most sense if you actually do business in Nevada.
How to Start an LLC in Nevada in 6 Steps
- Choose a name. It must include “Limited Liability Company,” “LLC,” “L.L.C.” or a similar ending and be different from other names on file.
- Appoint a registered agent. Nevada requires an agent with a physical Nevada address.
- File Articles of Organization. File online through SilverFlume. The fee is $75.
- File the Initial List and State Business License. These are filed together with your Articles. The Initial List costs $150 and lists your managers or managing members. The State Business License costs $200.
- Write an operating agreement and get your EIN. The operating agreement is not filed with the state. The EIN is free from the IRS.
- Register with the Nevada Department of Taxation if needed. If you sell taxable goods in Nevada, you need a sales tax permit.

Nevada Annual List and Business License
Each year, by the last day of the month you formed your LLC, you file an Annual List ($150) and renew your State Business License ($200). You file both online through SilverFlume. If you miss the deadline, the state adds a late fee, and your LLC can later be revoked.
Nevada also has a Commerce Tax, but it only applies to businesses with Nevada gross revenue over $4 million a year. Most small LLCs never pay it.
Nevada vs Wyoming
| Nevada | Wyoming | |
|---|---|---|
| Cost to form | $425 | $100 |
| Yearly state cost | $350 | $60 minimum |
| State income tax | None | None |
| Members listed publicly | Yes, on the Initial List | No, not on the Articles |
Both states have no income tax. For a small online business with no Nevada ties, Wyoming usually costs much less each year. Nevada is a better fit if you live or operate there.
