How to Start an LLC in Florida in 6 Steps
- Choose your LLC name. It must end with “Limited Liability Company,” “LLC” or “L.L.C.” and be different from names already on Sunbiz. Search the Sunbiz name database before you file.
- Appoint a Florida registered agent. The agent needs a street address in Florida and must sign to accept the job. The $25 agent designation fee is part of the $125 filing fee.
- File Articles of Organization on Sunbiz. You list the LLC name, main address, mailing address, registered agent and the people who manage the LLC. The total state fee is $125.
- Create an operating agreement. Florida does not ask you to file one, but it proves who owns the LLC. Banks, Stripe and Amazon often ask for it.
- Get your EIN. The IRS issues EINs for free. If you don’t have an SSN, we apply for you using Form SS-4.
- Register with the Florida Department of Revenue if needed. If you sell taxable goods or services in Florida, you need to register to collect sales tax. Registration is free.

The $400 late fee cannot be waived. If you still don’t file, Florida can administratively dissolve your LLC in September. We send reminders well before May 1.
