LLC Articles of Organization: What They Are and What to Include
Articles of Organization are the document that brings your LLC to life. Every bank, payment platform and IRS application will ask for them. Here is what they contain, what some states call them instead, and how LLCPronto prepares and files them for you.
Articles of Organization are the formation document you file with a US state to create an LLC. They list the LLC’s name, registered agent, address and how it is managed. Once the state approves them, your LLC legally exists. Some states, such as Delaware and Texas, call the same document a Certificate of Formation. With LLCPronto, we prepare and file them for you and send you the approved copy, which you then use for your EIN, bank account and Stripe.
What Are Articles of Organization?
Articles of Organization are a short public filing made with the state’s business office, usually the Secretary of State. They tell the state the basic facts about your new company. When the state accepts them, it records your LLC and returns an approved, often stamped, copy. That approval date is the date your LLC was formed.
Articles of Organization vs Certificate of Formation
| Name used | Example states | What it is |
|---|---|---|
| Articles of Organization | Wyoming, New Mexico, Florida, Colorado | The LLC formation document |
| Certificate of Formation | Delaware, Texas, New Jersey | The same document under another name |
| Certificate of Organization | A few states, such as Pennsylvania | The same document under another name |
Whatever the name, the job is the same: it creates the LLC. Banks and platforms understand all three.
